1. Agreement to Terms

By accessing or using Legend AMS ("Service"), operated by Legend AMS, LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Legend AMS is an agency management system designed for independent insurance agencies. The Service provides tools for client management, policy tracking, renewal workflows, document management, and related functionality.

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Transmit viruses, malware, or other malicious code
  • Reverse engineer, decompile, or disassemble the Service
  • Use the Service to store or transmit infringing or illegal content
  • Use automated means to access the Service without permission

5. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You retain ownership of data you upload to the Service. By using the Service, you grant us a limited license to process your data solely to provide the Service.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Legend AMS, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

7. Payment Terms

If you subscribe to a paid plan, you agree to pay all fees associated with your subscription. Fees are non-refundable except as required by law or as explicitly stated otherwise. We may change pricing with 30 days notice.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features with reasonable notice. We are not liable for any downtime or service interruptions.

9. Termination

You may terminate your account at any time. We may suspend or terminate your account for violation of these terms or for any reason with notice. Upon termination, you may export your data for 30 days, after which it may be deleted.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGEND AMS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Legend AMS, LLC and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these terms.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Johnson County, Iowa.

14. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance of the new terms.
